Please read these terms carefully before using HeyMaggi

1. Acceptance of Terms
Welcome to HeyMaggi! These Terms of Service ("Terms") constitute a legal agreement between you and The Automatic Office Corp dba HeyMaggi, Inc. ("HeyMaggi," "we," "us," or "our").
By creating an account, subscribing to, or using the HeyMaggi service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use HeyMaggi.
Who Can Use HeyMaggi
- You must be at least 18 years old to create an account
- You must have the legal authority to enter into this agreement
- If you are setting up HeyMaggi for a family member, you represent that you have their consent
- You must provide accurate and complete information during registration
2. Description of Service
HeyMaggi is a daily check-in and companionship service designed for elderly adults living independently. Our service includes:
Core Features
- Daily Check-Ins: Automated messages sent via WhatsApp, SMS, or phone calls to confirm well-being
- AI Companion: Conversational artificial intelligence for companionship and engagement

Escalation System: Three-tier response protocol when check-ins are missed
- Tier 1: Additional automated contact attempts
- Tier 2: Notification to designated family contacts
- Tier 3: Contact to emergency contacts according to your configured protocol
- SOS Alerts: User-initiated emergency alerts to designated contacts
- Family Dashboard: Web interface for Account Holders to monitor activity status, configure settings, and manage contacts
- Customizable Settings: Preferred check-in times, communication methods, and emergency contact hierarchy
Service Delivery Methods
HeyMaggi delivers check-ins through multiple channels:
- WhatsApp Business API: Interactive messaging via WhatsApp
- SMS Text Messages: Standard text messaging
- Voice Calls: Automated and AI-powered phone calls
Note: Service functionality depends on the User having an active phone number and, for WhatsApp, an active WhatsApp account with internet connectivity.
3. AI Capabilities and Limitations
HeyMaggi uses advanced artificial intelligence (Large Language Models) to provide conversational companionship and natural dialogue.
What AI Can Do
- Engage in natural, empathetic conversation
- Remember personal preferences and information you've shared
- Respond to questions and provide general information
- Offer companionship and emotional support
AI Limitations You Must Understand
Important: AI is Not Perfect
- "Hallucinations": AI can occasionally generate incorrect, misleading, or fabricated information that sounds plausible
- Not a Human: HeyMaggi's AI is software, not a person. It does not have human judgment, emotions, or consciousness
- Context Limitations: AI may misunderstand context or provide responses that don't fully address your situation
- No Professional Expertise: AI cannot replace professional advice from doctors, lawyers, financial advisors, or other licensed professionals
- Information Currency: AI's training data has a cutoff date and may not reflect the most current information
You Acknowledge: By using HeyMaggi, you understand that AI responses should be viewed as conversational and informational, not as factual, professional, or actionable advice.
4. Critical Disclaimer: Not a Medical Device

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- HeyMaggi is NOT a medical device, healthcare provider, diagnostic tool, or medical service. It does NOT provide medical advice, diagnosis, or treatment.
- Any health-related information provided through HeyMaggi's AI companion is for informational and entertainment purposes only. It is NOT medical advice.
- Never ignore professional medical advice or delay seeking medical care because of information provided by HeyMaggi.
- Do NOT rely on HeyMaggi for medication management. HeyMaggi cannot manage medications or health conditions with 100% accuracy. Critical medication reminders should use dedicated medical alert systems or professional healthcare services.
- Always consult qualified healthcare professionals for medical conditions, medications, symptoms, or health concerns.
- If experiencing a medical emergency, call 911 or your local emergency services immediately. Do NOT rely on HeyMaggi to contact emergency services.
By using HeyMaggi, you explicitly acknowledge and accept these limitations.
5. Critical Disclaimer: Not an Emergency Service
⚠ CRITICAL: HEYMAGGI IS NOT AN EMERGENCY SERVICE ⚠
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- HeyMaggi CANNOT call 911 or any emergency services (police, fire, ambulance).
- HeyMaggi is NOT a Personal Emergency Response System (PERS) or medical alert device.
- HeyMaggi cannot detect falls, accidents, or medical emergencies unless the User explicitly initiates an SOS alert through the service.
- SOS alerts go ONLY to your designated family/emergency contacts, NOT to 911 or emergency services. Your designated contacts must then take appropriate action.
- Response times are NOT guaranteed. Family contacts may not see alerts immediately. Delays may occur due to network issues, notification settings, or contact availability.

In case of a genuine emergency (fall, heart attack, stroke, injury, fire, intruder, etc.), the User MUST:
- Call 911 directly (or local emergency number)
- Use a dedicated medical alert system if available
- Contact neighbors or nearby assistance
- You are solely responsible for ensuring the User has access to appropriate emergency response systems and knows how to contact emergency services.
HeyMaggi is a wellness check-in service for peace of mind, NOT a replacement for professional emergency response systems.
What HeyMaggi's Escalation System Does
When a User misses check-ins, HeyMaggi will:
- Make additional automated contact attempts
- Alert designated family members via the dashboard and configured notifications
- Contact emergency contacts in your specified hierarchy
What This Means: Family members receive notifications of missed check-ins. They must then take appropriate action, which may include:
- Calling the User directly
- Asking neighbors or nearby relatives to check on them
- If necessary, contacting emergency services (911)
HeyMaggi does not and cannot determine whether an actual emergency exists or dispatch emergency services.
6. User Responsibilities
Account Holder Responsibilities
As the person creating and managing the HeyMaggi account, you are responsible for:

Accurate Information: Providing and maintaining accurate contact information for:
- The User's phone number
- Emergency contacts and their phone numbers
- Your own account contact information
- Proper Configuration: Setting up check-in times, communication preferences, and escalation hierarchy appropriately
- Informed Consent: Ensuring the User understands and consents to using HeyMaggi
- Emergency Preparedness: Ensuring the User has appropriate emergency response systems in place (911 access, medical alert devices if needed)
- Monitoring Dashboard: Regularly checking the family dashboard for alerts and notifications
- Contact Responsiveness: Ensuring designated emergency contacts understand their role and are able to respond to alerts
- Payment: Maintaining current payment information and paying subscription fees on time
User Responsibilities
The person receiving check-ins should:
- Respond to daily check-in messages
- Have access to their phone and ensure it's charged
- For WhatsApp: Maintain an active WhatsApp account and internet connection
- Understand that HeyMaggi is for companionship and check-ins, not emergencies
- Know how to contact 911 or emergency services directly
- Use the SOS feature only when needed, understanding it alerts family, not 911
Technical Requirements
You are responsible for:
- Internet Connectivity: For WhatsApp functionality, the User needs internet access (Wi-Fi or mobile data)
- Phone Service: Active phone service for SMS and voice calls
- WhatsApp Account: If using WhatsApp as the check-in method, an active WhatsApp account on the User's phone number
- Device Compatibility: A phone capable of receiving SMS, WhatsApp messages, or voice calls
Service Interruptions: HeyMaggi is not responsible for service interruptions caused by:
- Internet or phone service outages
- Device battery depletion
- Phone turned off or in airplane mode
- Carrier or network issues
- WhatsApp service disruptions
7. Account Registration and Security
Account Creation
- You must provide accurate, current, and complete information during registration
- You must promptly update your information if it changes
- One account per family/User relationship (you may not create multiple accounts for the same User)
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breaches
We recommend:
- Using a strong, unique password
- Not sharing your login credentials
- Logging out after using shared or public computers
Account Ownership
The account belongs to the Account Holder who created it. In case of disputes among family members, we will work with the registered Account Holder unless presented with legal documentation otherwise (such as power of attorney or court order).
8. Subscription, Billing, and Payment
Subscription Plans
HeyMaggi operates on a subscription basis. Available plans and pricing are displayed at signup and in your account dashboard.
Billing
- Billing Cycle: Subscriptions are billed according to your selected plan (monthly, annually, etc.)
- Auto-Renewal: Your subscription automatically renews at the end of each billing cycle unless you cancel
- Payment Method: You must provide a valid payment method (credit card, debit card, or other accepted methods)
- Authorization: You authorize us to charge your payment method for all fees owed
Price Changes
- We may change subscription prices from time to time
- You will be notified at least 30 days before any price increase affects your subscription
- Continued use of the service after a price change constitutes acceptance of the new price
- You may cancel before the new price takes effect if you do not agree
Failed Payments
- If payment fails, we will attempt to charge your payment method again
- You will be notified of failed payments
- If payment remains unsuccessful, your service may be suspended or terminated
- You remain responsible for any uncollected amounts
Taxes
All fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.), which will be added to your bill where required by law.
9. Cancellation and Refunds
Cancellation by You
- You may cancel your subscription at any time through your account dashboard or by contacting support
- Cancellation takes effect at the end of your current billing period
- You will retain access to the service until the end of the paid period
- No refunds are provided for partial billing periods, except as noted below
30-Day Money-Back Guarantee (New Subscribers Only)
We offer a 30-day satisfaction guarantee for new subscribers:
- Eligibility: First-time HeyMaggi subscribers only
- Timeframe: Cancel within 30 days of your initial signup date
- Refund: Full refund of your first payment
- How to Request: Email contact@heymaggi.com with "30-Day Refund Request" in the subject line
- Processing: Refunds processed within 5-7 business days to your original payment method
Exclusions: This guarantee does not apply to:
- Subscription renewals (second month and beyond)
- Users who previously subscribed and then resubscribed
- Cancelled accounts that are then reopened
Other Refund Situations
- Service Outages: If HeyMaggi experiences extended service disruptions due to our fault (not third-party providers or internet/phone issues), we may provide prorated credits or refunds at our discretion
- Billing Errors: If you are incorrectly charged, contact us immediately for correction and refund
- Unused Prepaid Time: If you prepaid for multiple months/year and we terminate your account for our convenience (not for breach of Terms), you'll receive a prorated refund for unused time
No Refunds For:
- Subscription time already consumed (partial month refunds after the 30-day guarantee period)
- Account termination due to your breach of these Terms
- User's failure to respond to check-ins (service was delivered as intended)
- Third-party service issues (internet outages, phone carrier problems, WhatsApp downtime)
- User error in setup or configuration
- Change of mind after the 30-day guarantee period
10. Third-Party Services
HeyMaggi relies on third-party services to deliver our functionality. Your use of HeyMaggi is also subject to the terms and policies of these third parties:
Communication Providers

Meta/WhatsApp Business API: Enables WhatsApp messaging
Your Acknowledgment
You understand and agree that:
- We are not responsible for third-party service outages, errors, or changes
- Third-party providers have their own terms of service and privacy policies
- Changes to third-party services may affect HeyMaggi's functionality
- We may need to modify our service if third-party providers change their offerings
Carrier Charges
Standard text messaging rates and data charges may apply from your phone carrier. HeyMaggi does not control or reimburse these charges.
11. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Key Privacy Points
- We collect only the minimum data necessary to provide HeyMaggi
- Your mobile phone information is NEVER shared with third parties for marketing
- Family members can see check-in status but NOT conversation content
- We never sell your personal information
- Your data is encrypted in transit and at rest

12. Intellectual Property
Our Ownership
HeyMaggi and all associated intellectual property belong to The Automatic Office Corp dba HeyMaggi, Inc. This includes:
- The HeyMaggi name, logo, and branding
- Website and dashboard design and content
- Software, algorithms, and code
- AI models and conversation technology
- Documentation and user guides
Limited License to You
We grant you a limited, non-exclusive, non-transferable license to use HeyMaggi for personal, non-commercial use during your subscription period. This license terminates when your subscription ends.
Restrictions
You may not:
- Copy, modify, or create derivative works of HeyMaggi
- Reverse engineer, decompile, or disassemble any part of the service
- Remove or alter any copyright, trademark, or other proprietary notices
- Use HeyMaggi to develop competing products or services
- Resell, redistribute, or sublicense access to HeyMaggi
- Use HeyMaggi for any illegal or unauthorized purpose
Your Content
You retain ownership of any personal information you provide. By using HeyMaggi, you grant us a license to use this information solely to provide and improve the service as described in our Privacy Policy.
13. Service Availability and Changes
Service Availability
We strive to provide reliable service, but we cannot guarantee uninterrupted access. Service may be temporarily unavailable due to:
- Scheduled maintenance (we'll notify you when possible)
- Emergency maintenance or repairs
- Third-party service disruptions
- Internet or telecommunications issues
- Force majeure events (natural disasters, pandemics, etc.)
Service Modifications
We may modify, update, or discontinue features at any time. We will make reasonable efforts to:
- Notify you of significant changes
- Maintain core check-in functionality
- Improve the service over time
If we make material changes that substantially reduce functionality, you may cancel and receive a prorated refund for unused subscription time.
Beta Features
We may offer beta or experimental features. These are provided "as-is" without warranties, may be unstable, and may be discontinued without notice.
14. Limitation of Liability
IMPORTANT LIABILITY LIMITATIONS
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT SHALL THE AUTOMATIC OFFICE CORP DBA HEYMAGGI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any physical injury, medical emergency, or death arising from use or inability to use the service
- Any failure to detect, respond to, or escalate a genuine emergency
- Any delayed, missed, or failed notifications to emergency contacts
- Any inaccurate or misleading information provided by the AI companion
- Any service interruptions caused by third-party providers, internet outages, or telecommunications issues
- Any unauthorized access to your account or data breaches, provided we implemented reasonable security measures
- Any disputes between family members regarding account control or emergency response decisions
MAXIMUM LIABILITY CAP:
Our total liability to you for all claims arising from or related to HeyMaggi shall not exceed the amount you paid us in the 12 months immediately preceding the event giving rise to liability, or $100, whichever is greater.
These limitations apply:
- Even if we have been advised of the possibility of such damages
- Regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
- To the fullest extent permitted by applicable law
Basis of the Bargain
You acknowledge that we have set our prices and entered into this agreement in reliance upon these liability limitations, which allocate risk between us and form the basis of our bargain.
Jurisdictions That Prohibit Limitation
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless HeyMaggi, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of HeyMaggi
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your failure to provide accurate information
- Your failure to maintain appropriate emergency response systems
- Any disputes among family members regarding the User's care or emergency response
- Any actions taken or not taken by your designated emergency contacts
This indemnification obligation survives termination of your account.
16. Dispute Resolution and Arbitration
Informal Resolution First
Before pursuing formal dispute resolution, please contact us at contact@heymaggi.com to attempt to resolve the issue informally. Most disputes can be resolved this way.
Binding Arbitration
If informal resolution fails, you and HeyMaggi agree that any dispute arising from or relating to these Terms or your use of HeyMaggi will be resolved through binding arbitration, except as noted below.
Arbitration Agreement:
- Arbitration Rules: The American Arbitration Association (AAA) Consumer Arbitration Rules
- Location: Arbitration will take place in Miami-Dade County, Florida, or another mutually agreed location
- Individual Basis: Arbitration will be on an individual basis only (no class actions)
- Costs: Each party bears their own costs, though the arbitrator may award costs to the prevailing party
- Binding Decision: The arbitrator's decision is binding and may be entered as a judgment in any court
Exceptions to Arbitration
The following may be brought in court instead of arbitration:
- Small claims court matters (within jurisdictional limits)
- Claims for injunctive relief related to intellectual property
- Individual claims in a court of appropriate jurisdiction
No Class Actions
YOU AND HEYMAGGI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17. Changes to Terms
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or service offerings.
How We Notify You
- Material Changes: Email notification at least 30 days before changes take effect
- Minor Changes: Update the "Last Updated" date at the top
- Dashboard Notice: Notification in your account for significant changes
Your Acceptance
- Continued use after changes indicates acceptance of updated Terms
- If you disagree with changes, you may cancel your subscription before they take effect
- For material changes requiring explicit consent, we will obtain your agreement

Previous versions of these Terms are available upon request at contact@heymaggi.com.
18. Termination
Termination by You
You may terminate your subscription at any time as described in Section 9 (Cancellation and Refunds).
Termination by Us
We may suspend or terminate your account immediately if:
- You breach these Terms
- You fail to pay subscription fees
- You engage in fraudulent or illegal activity
- You abuse or misuse the service
- You violate third-party provider terms (Twilio, WhatsApp)
- We are required to do so by law
We may also terminate your account for our convenience with 30 days' notice and a prorated refund of unused subscription time.
Effect of Termination
Upon termination:
- Your access to HeyMaggi services immediately ends
- Check-in messages and AI companion conversations cease
- Your data will be handled according to our Privacy Policy
- You remain liable for all fees incurred before termination
- Sections of these Terms that by their nature should survive (limitations of liability, indemnification, dispute resolution, etc.) continue to apply
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Subject to the arbitration agreement in Section 16, any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of such courts.
International Users
If you are accessing HeyMaggi from outside the United States, you do so at your own risk and are responsible for compliance with local laws. These Terms are governed by Florida law regardless of your location.
20. Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HeyMaggi regarding use of the service and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.
Assignment
You may not transfer or assign these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
Force Majeure
We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or acts of God.
No Third-Party Beneficiaries
These Terms are for the benefit of you and HeyMaggi only. No third party has any right to enforce any provision of these Terms.
Interpretation
- Headings are for convenience only and do not affect interpretation
- "Including" means "including but not limited to"
- "You" includes the Account Holder and, where applicable, the User
- Singular includes plural and vice versa where context requires

By Using HeyMaggi, You Acknowledge:
- You have read and understood these Terms of Service
- You understand HeyMaggi is NOT a medical device or emergency service
- You accept the limitations and disclaimers outlined in this agreement
- You will ensure appropriate emergency response systems are in place
- You agree to be bound by these Terms and our Privacy Policy
HeyMaggi - Because every day matters.
